Terms of Service for SAM user

Use of the SAM service is subject to the terms and conditions set out below. By continuing to use the SAM service, you are deemed to have accepted these terms and conditions. We reserve the right to amend these terms and conditions from time to time. If you disagree with any of these terms and conditions, you must immediately discontinue your use of the SAM service.
  1. MEANINGS AND INTERPRETATIONS
    1. "Bill" means an account, invoice, statement or demand for payment issued by or on behalf of a Sender, which may be paid using the Service.
    2. "Bound" means tied, secured, attached or fastened tightly together (excluding stapled) such that the Correspondence provided by a Sender cannot be easily separated by us.
    3. "Credit/Debit Card" means a current and valid credit or debit card in your name, or which you are lawfully authorised by the cardholder to use.
    4. "Confidential Information" means, but is not limited to, all information of a commercial, technical or financial nature relating to you and/or the Service which is deemed to be unique, secret and confidential, and which constitutes your exclusive property or trade secrets, regardless of form, format or media including, without limitation, written, oral, or information reduced to tangible form and also includes information communicated or obtained through meetings, documents, Correspondence or inspection of tangible items.
    5. "Correspondence" means any letters, parcels, documents, materials or such other items (including but not limited to Bills, official correspondences and promotional materials) provided by a Sender.
    6. "Forwarding Address" means the physical mailing address in Singapore (excluding PO Box) provided by you for use with the ScanMail. The Forwarding Address will be used for the forwarding of Correspondence which are received by ScanMail.
    7. "Incompatible Correspondence" means Correspondence that do not meet requirements for scanning as described in these Terms of Service.
    8. "Nominated Account" means the account nominated by you from which funds are to be deducted to enable a Bill payment to be transacted through the Service.
    9. "Nominated Financial Institution" means the financial institution nominated by you which maintains the Nominated Account.
    10. "Payment Instruction" means the instruction given by you to us pursuant to the Service for effecting a Bill payment to the Sender.
    11. "ScanMail" means an optional add-on, paid subscription offering that allows you to manage all your physical Correspondence from your Senders that are sent to your ScanMail Address.
    12. "ScanMail Address" means the physical mailing address assigned by us to the subscribers of the ScanMail. The ScanMail Address is to be provided to your Senders by you for Correspondence which can be scanned into a digital format for presentment on the SAM.
    13. "Sender" means the person, agency, organization or business entity which (a) you have authorised us to obtain the Correspondence and to deliver them to you in accordance with the Unique Identifier(s), and/or (b) you have authorised us to obtain the physical Correspondence and to manage and digitise them for digital presentment on SAM, and/or (c) has participated in the Service for us to accept and consolidate on their behalf all payments for Bills made by you to it.
    14. "Service" refers to the SAM service, more particularly described below.
    15. "Unique Identifier(s)" means the unique identifier number(s) which has been previously allocated to you by the Sender which the Sender uses to identify you, and which has been provided by you to us.
  2. THE SERVICE
    1. The Service is a secured online platform that allows you to manage all your digital Correspondence from your Senders. You may indicate your choice of receiving Correspondence from multiple Senders in digital form via the secured platform. To access the Service, you will need to register a SingPost ID and SingPost password. Once registered, you may then login using your SingPost ID and your newly created SingPost password via the web portal or mobile applications.
    2. In addition, we also provide ScanMail as an optional add-on, paid subscription offering that allows you to manage all your physical Correspondence (subject to your subscription quota) from your Senders that are sent to a ScanMail Address. ScanMail will digitise these Correspondence that are not in a bound format for digital presentment on SAM. You will need to inform your Senders of your change of address to your ScanMail Address so that ScanMail can digitise compatible Correspondence for your viewing via the secured platform. To access ScanMail, you will need to login using your SingPost ID and SingPost password via the web portal or mobile applications.
  3. PROVISION OF SERVICE
    1. In providing the Service, we act as an independent contractor and are not involved in the preparation of the content of the Correspondence and/or verification of the Unique Identifier(s), in any capacity, unless otherwise specifically stated.
    2. As a distributor of the Correspondence, we:
      1. merely distribute the Correspondence to you in accordance with the Unique Identifier(s);
      2. are not in any way involved in the collation, compilation, editing or presentation of the Correspondence or the content thereof;
      3. do not verify, ensure or assume responsibility for the accuracy and data integrity of the Correspondence, the content thereof and/or the Unique Identifier(s) at any particular moment on a real-time basis or otherwise, while in-transit or resident at our system; and
      4. do not provide any financial, professional or other advice, comment or representation with regard to the Correspondence.
    3. Further, in providing ScanMail, we:
      1. shall digitise compatible physical Correspondence that are in an unbound paper format, up to A3 in size with no more than 22 pages (or less than 11 sheets double sided) and distribute the Correspondence to you in accordance with the Unique Identifier(s);
      2. will, in our sole and absolute discretion, forward incompatible Correspondence either individually or in bulk to your Forwarding Address. These include but are not limited to:
        1. Correspondence that are in a bound format,
        2. Correspondence that are larger than A3 size
        3. Correspondence with more than 22 pages (or less than 11 sheets double sided)
        4. Correspondence that are addressed to a joint party.
        5. Magazine / Book / Calendar
        6. Parcel
        7. Binder
        8. Credit Card
        9. Perforated Pin Mailer only
        10. Booklet
        11. Cheque (unless otherwise specified)
      3. will reseal all opened physical Correspondence (including any incompatible Correspondence) either individually or in bulk without prejudice before sending to your Forwarding Address;
      4. will deliver in accordance with the following service levels:
        1. Digitisation => within 3 working days upon receipt of the Correspondence
        2. Forwarding of physical Correspondence after digitisation => in bulk in the months of January, March, May, July, September and November
        3. Forwarding of incompatible Correspondence => within 5 working days upon receipt of the Correspondence and subject to charges (if any)
        4. Regular physical mail service levels will not apply in such cases
      5. do not accept non Singapore mailing addresses as a Forwarding Address;
      6. do not process Correspondence received with incomplete/incorrect ScanMail Addresses. Such mail will be returned to Sender in the same manner as an undeliverable Correspondence;
      7. will, subject to any provision below, store Correspondence delivered to ScanMail Addresses with expired subscriptions or are in excess of your ScanMail quotas for a period of 3 months after expiry. Subsequently, these Correspondence will be destroyed;
      8. will not allow annual subscription refunds of any form;
      9. may append your ScanMail Address in pencil in an unobtrusive area to the Correspondence which do not have it imprinted for the purposes of identification.
    4. As a collecting agent of the Payment Instruction, we:
      1. shall instruct your Nominated Financial Institution to deduct from your Nominated Account, the amount specified in the Payment Instruction on the date specified in the Payment Instruction;
      2. are not in any way involved in the editing of the Payment Instruction;
      3. do not verify, ensure or assume responsibility for the accuracy of the Payment Instruction at any particular moment on a real-time basis or otherwise; and
      4. do not provide any financial, professional or other advice, comment or representation with regard to the Payment Instruction.
    5. Notwithstanding anything hereincontained, we shall be entitled at our sole and absolute discretion, to refuse to process or act on your Payment Instruction without assigning any reason, or to require additional information from you before we process your Payment Instruction.
  4. YOUR OBLIGATIONS AND RESPONSIBILITIES
    1. You agree to the following:
      1. that save for the service levels as provided above for ScanMail, we are not responsible for the accuracy and timeliness of the Correspondence, the content thereof and/or the accuracy of the Unique Identifier(s);
      2. that Bill payments through the Service do not alter your obligations under any agreements you have entered into with the respective Senders; and
      3. that by using the Service, you irrevocably:
        1. authorise us to:
          1. process your Payment Instruction, and
          2. request and obtain your Correspondence from the Sender from time to time, using your Unique Identifier(s), and
          3. in the case of ScanMail subscribers, open your Correspondence sent to your ScanMail Address, regardless of validity of subscription, for the purposes of digitisation or resealing for forwarding the Correspondence back to you
        2. consent to the collection, use and disclosure to us of any and all information or details of whatsoever nature relating to you and/or your Nominated Account for the performance of the Service and/or ScanMail in accordance with Section 13 of the Personal Data Protection Act 2012 (Cap. 26).
    2. It is your responsibility for the following:
      1. to pay the Bill in a timely manner;
      2. to ensure that sufficient credit is available in your Nominated Account at all times to enable payment of the Bill;
      3. to correctly enter all information requested when giving the Payment Instruction;
      4. to immediately update all information provided to us, including contact information and physical mailing address, whenever there are any changes;
      5. for ScanMail subscribers, to inform your selected Senders of your ScanMail Address; And
    3. You acknowledge that we shall have no liability or obligation to keep a record of the transactions carried out using the Service and/or ScanMail and/or to provide information to you or for verifying your Payment Instruction, other than records required to be kept or information required to be provided under the applicable laws or for the purposes of corporate compliance and governance (including but not limited to statutory records) or in relation to any disputes between you and us in connection with these Terms of Service, the Service and ScanMail, for such period as may be necessary.
  5. MODES OF PAYMENT
    1. You may make payment for the Service through such channels and payment modes as may be specified by us from time to time.
  6. PAYMENT INSTRUCTION
    1. You agree that we may process your Bill payment in accordance with your Payment Instruction.
    2. Whilst we will endeavor to process all transactions without delay, we will not be responsible for delays or failures in accessing the Service, processing of transactions or transactions being declined or your Nominated Financial Institution delaying or failing to implement the Payment Instruction, for any reasons whatsoever.
    3. The use of the Service to transact a Bill payment and our processing of your Payment Instruction, does not constitute final payment of a Bill.
    4. If the Bill payment is declined by your Nominated Financial Institution for any reason, your Bill will remain unpaid. In that event, you will be responsible to make payment of the Bill via other modes and/or for any additional fees and charges levied by either your Nominated Financial Institution or Sender.
    5. Where the value of any payment made by you via any payment mode has already been paid by us on your behalf to the Sender and if (a) the payment made by you is dishonored, withheld or rejected by the payment mode provider, or (b) the payment mode provider refuses to pay to us all or part of the said value, or (c) the payment mode provider requires a refund from us for any amount it has paid to us for whatsoever reason, or (d) your Nominated Financial Institution does not reimburse us the amount for any reason whatsoever, the Bill payment transaction will be stopped or reversed and you shall be liable to repay us the amount that has already been paid by us on your behalf to the Sender. In that event, you will be responsible to make payment of the Bill via other modes and/or for any additional fees and charges levied by either your Nominated Financial Institution or Sender.
  7. DISCLAIMER AND EXCLUSION OF LIABILITY
    1. The Service, the information provided for the Service and use of all related facilities are provided on an "as is, as available" basis without any warranties whether express or implied.
    2. To the fullest extent permitted by applicable law, we disclaim all representations and warranties relating to the Service, including in relation to any inaccuracies or omissions in the provision of the Service, warranties of merchantability, quality, fitness for a particular purpose, accuracy, availability, non-infringement or implied warranties from course of dealing or usage of trade.
    3. We do not warrant that the Service will always be accessible, uninterrupted, timely, secure, error free or free from computer virus or other invasive or damaging code or that the Service will not be affected by any Acts of God or other force majeure events, including inability to obtain or shortage of necessary materials, equipment facilities, power or telecommunications, lack of telecommunications equipment or facilities and failure of information technology or telecommunications equipment or facilities.
    4. While we may use reasonable efforts to include accurate and up-to-date information for the Service, we make no warranties or representations as to its accuracy, timeliness or completeness.
    5. WE SHALL NOT BE LIABLE FOR ANY ACTS OR OMISSIONS OF ANY THIRD PARTIES HOWSOEVER CAUSED, AND FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, HOWSOEVER CAUSED, RESolTING FROM OR IN CONNECTION WITH THE SERVICE, YOUR ACCESS TO, USE OF OR INABILITY TO USE THE SERVICE, RELIANCE ON THE SERVICE, OR ANY DELAYS, INACCURACIES IN THE INFORMATION OR IN ITS TRANSMISSION INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS OR PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    6. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer that cannot be excluded or limited are affected.
    7. Notwithstanding our efforts to ensure that our system is secure, you acknowledge that all electronic data transfers are potentially susceptible to interception by others. We cannot, and do not, warrant that data transfers pursuant to the Service, or electronic mail transmitted to and from us, will not be monitored or read by others.
  8. INDEMNITY
    1. You agree to indemnify and keep us indemnified against any claim, action, suit or proceeding brought or threatened to be brought against us which is caused by or arising out of (i) your use of the Service, (ii) any other party’s use of the Service using your SingPost ID, verification PIN and/or any identifier number allocated by us, and (iii) your breach of any of these terms and conditions, and to pay us damages, costs and interest in connection with such claim, action, suit or proceeding.
  9. AMENDMENTS
    1. We reserve the right to amend these terms and conditions from time to time without notice. The revised terms and conditions will be posted on the SAM online portal or mobile application platform and shall take effect from the date of such posting.
  10. RENEWAL OF SCANMAIL SUBSCRIPTION
    1. We will perform an automatic renewal of your ScanMail subscription unless you have given us 30 days’ prior notice in writing.
    2. In the event that automatic renewal is unsuccessful, we will attempt to contact you in writing to seek your assistance for renewal. We will terminate your subscription within 30 days of non-renewal of subscription.
    3. The termination of your subscription shall not release you from any liabilities or responsibilities which have accrued prior to the date of termination, including but not limited to your obligation to pay any outstanding charges, if any, to us.
    4. For the avoidance of doubt, no refund of any form will be allowed for the termination of your ScanMail subscription.
  11. TERMINATION OR SUSPENSION OF THE SERVICE
    1. We reserve the right to terminate or suspend the Service at any time without assigning any reason.
    2. The termination or suspension of the Service shall not release you from any liabilities or responsibilities which have accrued prior to the date of termination or suspension, including but not limited to your obligation to pay any outstanding charges, if any, to us.
    3. We shall not be liable to you or to any other party for any damages, losses, cost or expenses howsoever caused by or arising out of such termination or suspension of the Service.
    4. You may terminate your registration for use of the Service by giving us 14 days’ prior notice in writing.
    5. Your termination of your registration shall not release you from any liabilities or responsibilities which have accrued prior to the date of termination, including but not limited to your obligation to pay any outstanding charges, if any, to us.
  12. CONFIDENTALITY
    1. We acknowledge that during the course of the performance of the Service and/or ScanMail, we may have access to your Confidential Information, and we acknowledge that we are in a confidential relationship with you. Confidential Information shall be used by us only in performing or receiving the benefit of the Service and/or ScanMail and may not be used for other purposes, except upon such terms as may be agreed upon in writing by you. We agree to maintain the confidentiality of the Confidential Information disclosed to us under the Service and/or ScanMail and to use the same degree of care as we use with regard to our own Confidential Information of similar importance to prevent the disclosure, publication or unauthorized use of the Confidential Information and, in any case, no less than reasonable care. We may not duplicate or copy your Confidential Information other than to the extent necessary for legitimate business uses in connection with the Service and/or ScanMail.
    2. We shall not be liable for the disclosure or use of your Confidential Information if the same:
      1. is in or enters the public domain, other than by breach of these Terms of Service; or
      2. is known to us on a non-confidential basis prior to disclosure pursuant to these Terms of Service; or
      3. is or has been lawfully disclosed to us by a third party without an obligation of confidentiality; or
      4. is required to be disclosed pursuant to any applicable laws, roles or regulations or direction of statutory or regulatory authority or stock exchange or order of a relevant court of law.
  13. EXCLUSION OF RIGHTS OF THIRD PARTIES
    1. A person who is not a party to this Agreement has no rights under the Contracts (Rights of Third Parties) Act (Cap. 53B) of the Republic of Singapore to enforce any term of these Terms of Service.
  14. APPLICABLE LAW AND JURISDICTION
    1. These Terms of Service shall be construed in accordance with the laws of the Republic of Singapore.
    2. You accept and agree that both you and we shall submit to the exclusive jurisdiction of the courts of the Republic of Singapore in respect of any dispute arising out of and/or in connection with these Terms of Service.
